Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Civrel, Inc. ("Civrel," "we," "us," or "our") governing your access to and use of our Servicemembers Civil Relief Act (SCRA) compliance platform, including any associated software, applications, and services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you have entered into a separate Master Services Agreement ("MSA") with Civrel, the terms of that MSA govern your use of the Services to the extent they conflict with these Terms.

2. Description of Services

Civrel provides a cloud-based platform to assist financial institutions, mortgage servicers, auto lenders, property managers, debt collectors, and law firms in managing compliance with the Servicemembers Civil Relief Act (50 U.S.C. § 3901 et seq.). Our Services include:

  • Military service verification through authorized DMDC channels
  • Case management and workflow automation
  • Interest rate cap calculations and tracking
  • Protection monitoring and expiration alerts
  • Compliance documentation and audit trail generation
  • Reporting and analytics

3. Account Registration and Security

3.1 Account Creation

To access the Services, you must create an account and provide accurate, complete, and current information. You agree to update your information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

3.3 User Roles and Access

Organization administrators are responsible for managing user access and permissions within their organization. You agree to ensure that all users within your organization comply with these Terms.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services for any purpose that is unlawful or prohibited by these Terms
  • Submit false, inaccurate, or misleading information
  • Access accounts, data, or systems without authorization
  • Interfere with or disrupt the Services or servers
  • Attempt to circumvent security measures or access controls
  • Use the Services to harass, abuse, or harm others
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Use automated systems to extract data from the Services without permission
  • Share login credentials or allow unauthorized access to your account

5. Data and Privacy

5.1 Your Data

You retain ownership of all data you submit to the Services ("Customer Data"). You grant us a limited license to use, process, and store Customer Data solely to provide the Services and as described in our Privacy Policy.

5.2 Data Accuracy

You are responsible for the accuracy and completeness of Customer Data. Civrel is not responsible for errors or inaccuracies in Customer Data or decisions made based on inaccurate information you provide.

5.3 Sensitive Information

You acknowledge that the Services process sensitive personal information, including Social Security Numbers. You agree to handle such information in compliance with all applicable privacy and data protection laws.

6. SCRA Compliance Disclaimer

Important: While Civrel provides tools to assist with SCRA compliance, we do not provide legal advice. The Services are designed to support your compliance efforts but do not guarantee compliance with the SCRA or any other law. You are solely responsible for ensuring your organization's compliance with the SCRA and all applicable laws and regulations.

DMDC verification results reflect military status as of the date of verification. Service member status may change after verification. You should verify status according to your compliance policies and procedures.

Verification results are dependent on data provided by the Defense Manpower Data Center (DMDC). Civrel makes no representations regarding the accuracy, completeness, or timeliness of DMDC data. Verification response times depend on DMDC system availability and may vary. Civrel is not acting as your legal counsel or compliance advisor.

7. Fees and Payment

7.1 Subscription Fees

Access to the Services requires payment of subscription fees as set forth in your Order Form or subscription agreement. Fees are based on your selected plan and usage tier.

7.2 Payment Terms

Fees are invoiced in advance on a monthly or annual basis, depending on your subscription plan. Payment is due within thirty (30) days of invoice date unless otherwise specified.

7.3 Fee Changes

We may change our fees upon sixty (60) days' notice. Fee changes will be effective at the start of your next subscription period.

8. Intellectual Property

8.1 Our Intellectual Property

The Services, including all software, content, designs, and trademarks, are owned by Civrel or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

8.2 Feedback

If you provide feedback or suggestions about the Services, we may use such feedback without obligation to you.

9. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed by the other party. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from third parties.

10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that the Services will perform substantially in accordance with our documentation. We will use commercially reasonable efforts to maintain the availability and security of the Services.

10.2 Disclaimer

Except as expressly provided herein, the Services are provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not warrant that DMDC verification services will always be available or accurate.

11. Limitation of Liability

To the maximum extent permitted by law, Civrel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to these Terms or the Services.

Our total liability for any claims arising out of or related to these Terms or the Services shall not exceed the amounts paid by you for the Services during the twelve (12) months preceding the claim.

The limitations in this Section shall not apply to: (a) either party's indemnification obligations under Section 12; (b) either party's breach of confidentiality obligations; (c) Customer's payment obligations; or (d) damages arising from a party's willful misconduct or gross negligence.

12. Indemnification

12.1 Customer Indemnification

You shall indemnify, defend, and hold harmless Civrel and its officers, directors, and employees from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services in violation of these Terms; (b) your violation of applicable law; or (c) Customer Data, including any claim that Customer Data infringes or misappropriates a third party's intellectual property rights.

12.2 Civrel Indemnification

Civrel shall indemnify, defend, and hold harmless you from and against any third-party claims that the Services, as provided by Civrel, infringe a valid United States patent, copyright, or trademark.

12.3 Indemnification Procedures

The indemnified party shall: (a) promptly notify the indemnifying party in writing; (b) grant the indemnifying party sole control of the defense and settlement; and (c) provide reasonable cooperation at the indemnifying party's expense.

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Services. Your subscription term is specified in your Order Form or subscription agreement.

13.2 Termination

Either party may terminate for cause if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of written notice. We may suspend or terminate your access immediately if you violate the Acceptable Use provisions.

13.3 Effect of Termination

Upon termination, your access to the Services will cease. You may request export of your Customer Data within thirty (30) days of termination. We will retain audit records as required by law. Sections 5, 6, 8, 9, 10, 11, 12, and 14 survive termination of these Terms.

14. General Provisions

14.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

14.2 Dispute Resolution

The parties will attempt to resolve any dispute arising from these Terms through good-faith negotiation for a period of thirty (30) days. If the dispute is not resolved, either party may pursue litigation in the Delaware Court of Chancery (for equitable claims), the Delaware Superior Court (for legal claims), or the United States District Court for the District of Delaware.

14.3 Modifications

We may modify these Terms at any time by posting revised Terms on our platform. Material changes will be communicated via email or in-app notification. Continued use of the Services after modifications constitutes acceptance of the revised Terms.

14.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

14.5 Entire Agreement

These Terms, together with any Order Form or subscription agreement, constitute the entire agreement between you and Civrel regarding the Services.
